The Companies (Model Articles) Regulations 2008 (SI No. 3229)
Where model articles are adopted in their entirety, they don’t need to be registered with Companies House.
Where a company adopts amended model articles or bespoke articles, the model articles will automatically be applied to plug any gaps in these articles if a company hasn’t made provision for a given set of circumstances for which there’s a rule in the model articles. The rule in the model articles will apply by default unless the company’s articles make it clear that the default rules shouldn’t apply. If a company doesn’t rely entirely on the model articles, it must register its articles with the Registrar of Companies when it’s formed.
